Terms of Service

This Terms of Service ("Agreement") is a legal agreement between you (either as an individual or entity) and ActionLogics Inc ("Company", "we", "us", or "our"), the provider of the ActionLogics software application ("Software") and the customer ("Customer") of the Company on whose behalf the service is provided.

By using the Software, you agree to be bound by this Agreement, our Terms of Use, and our Privacy Policy. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

ActionLogics Inc does not collect sensitive personal information, such as bank details and credit card numbers. The Company collects names and personal email addresses from contact forms solely to discuss service interest.

1. Scope of Services

The Software delivers content (including text, imagery, SMS, emails, in-app notifications) on behalf of our Customers. The Company reserves the right to enhance, upgrade, and make changes to the Software without materially reducing quality or functionality.

2. Intellectual Property

All rights, title, and interest in and to the Software, including all intellectual property rights therein, belong to and are retained solely by the Company. Users do not own or acquire any rights beyond those expressly granted. Content rights belong to respective customers providing that content.

3. Rights and Obligations

Users are responsible for all account activity and must comply with applicable laws regarding data privacy, international communications, and technical and personal data transmission.

4. Dispute Resolution

In the event of a dispute arising out of or in relation to this Agreement, the parties will first seek resolution by negotiation. Unresolved disputes shall proceed under Maryland jurisdiction.

5. Warranties and Liabilities

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

6. Data Protection and Security

Our Privacy Policy explains how we collect, use, and disclose your personal information. By using the Software, you agree to the Privacy Policy.

7. Indemnification

Users agree to indemnify and hold harmless the Company, its officers, directors, employees, agents, licensors, and suppliers from losses, damages, and costs — including reasonable attorneys' fees — resulting from agreement violations or wrongful conduct.

8. Content and Royalties

Customer-provided content and associated royalties are governed by respective customer Terms of Service. The Company is not responsible for the content, nor any royalties, fees, or payments associated with such content.

9. Changes to Terms of Service

We reserve the right to modify this Agreement at any time. Changes will appear on the website or within the Software. Continued use constitutes acceptance of the modified terms.
